Aims

  • To increase students' knowledge and critical appreciation of the legal and regulatory framework within which corporate business must be conducted (with special reference to the UK and EU).

Content

  • Company law: separate legal personality and limited liability; formation and management; corporate governance; director's liability.
  • Contract: basic principles; supply of goods and services; contract risk management.
  • Regulatory environment: competition law; environmental and health and safety protection; discrimination; product safety.
  • Real estate: land use - rights and responsibilities.

Learning Outcomes

Subject-specific Knowledge:
  • By the end of the module students will:
  • be able to evaluate critically the impact of the law on corporate ethics, decision making and planning;
  • have deepened their appreciation of the legal and regulatory framework within which corporate business must be conducted (with special reference to the UK and EU);
  • have a critical awareness of the relationships between national and supranational law in the short, medium and long term (with special reference to the UK and EU).
Subject-specific Skills:
  • By the end of the module students will:
  • have developed specialised skills in incorporating a legal perspective in the decision making process;
  • be able to apply a risk-based approach to the identification and management of legal issues.

  • The module is delivered in discrete Units. These are designed to enable the learning outcomes to be achieved through a combination of specially written material, directed reading, reflection through self-assessed assignments and guidance for further reading. Module tutors provide feedback on formative work and are available for individual consultation as necessary (by email, telephone, post or fax).
  • The written assignment will test students’ understanding of relevant concepts and their ability to apply and interpret what they have learned to the analysis of a particular issue in depth.
